1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the MediFlow clinic management console and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a clinic or organization, you represent that you are authorized to bind it.
2. The service
MediFlow provides tools to manage scheduling, patient records, charting, prescribing, reminders, and billing, including AI-assisted drafting and safety checks. We may add, change, or remove features over time. The Service is a software tool — it does not provide medical care or professional advice.
3. Accounts & roles
- You are responsible for the accuracy of registration information.
- You must keep credentials confidential and are responsible for activity under your account.
- Admins manage team members and their role-based permissions, and are responsible for who they grant access to.
- You must notify us promptly of any unauthorized use.
4. Clinical responsibility
All clinical decisions remain the sole responsibility of qualified, licensed clinicians. AI-generated drafts, suggestions, allergy and interaction warnings, and other outputs are decision support only and may be incomplete or incorrect. Nothing is committed to a patient record until a user reviews and confirms it. You must independently verify any output before acting on it and comply with all applicable medical, licensing, and record-keeping laws.
5. Acceptable use
You agree not to:
- Use the Service unlawfully or to violate any person's rights.
- Upload data you lack the right or consent to process.
- Attempt to breach security, access other tenants' data, or disrupt the Service.
- Reverse engineer, resell, or misuse the Service except as permitted.
6. Your data
You retain all rights to the data you and your clinic enter ("Your Data"). You grant MediFlow a limited license to host and process Your Data solely to provide and improve the Service for you, as described in our Privacy Policy. You are responsible for obtaining any patient consents required for the data you process and the messages you send.
7. Plans & billing
Paid plans are billed in advance on a recurring basis per the pricing in effect when you subscribe. Fees are non-refundable except where required by law. You can cancel at any time; cancellation stops future renewals but does not refund the current period. We may change pricing with reasonable notice.
8. Termination & deletion
You may stop using the Service at any time. An admin can permanently delete the clinic account from Team & Permissions → Danger zone; this irreversibly purges all of the clinic's data. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your right to use the Service ends and we may delete Your Data after a reasonable period unless retention is required by law.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any AI output is accurate or complete.
10. Limitation of liability
To the maximum extent permitted by law, MediFlow will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits. Our total liability for any claim arising out of the Service is limited to the amount you paid us for the Service in the twelve months before the claim.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by the "last updated" date above and, where appropriate, communicated in-app. Your continued use after changes take effect constitutes acceptance.
